Fault code P0420

Scanner reads the code as: P0420 Catalyst System Efficiency Below Threshold

Emissions warning light came on out of the blue today, not hesitancy or similar problems. Can anyone point me into any further details of potentials problems? I'm guessing possible sensor fault?
